Terms of
Service.
How we quote, build, deliver, invoice and support the work — plus who owns the code, what the warranty actually covers, and what happens when something goes wrong. Written to be read before you order, not after.
1. About these terms
These terms of service govern every offer, order and project between blinovit service OÜ — a private limited company registered in Estonia under registry code 17594156, referred to below as we or the studio — and the person or company ordering the work, referred to as you or the client. Our registered office is in Estonia and our contact details are in section 17.
They apply from the moment you confirm an order in writing — by e-mail, by signing an offer, or by paying an invoice or prepayment for a package. Confirming an order means you have read and accepted this document.
Where a signed offer or a written order confirmation says something different from these terms, the signed offer or order confirmation prevails for that project. These terms cover everything the offer does not.
We may update these terms as the studio grows. The version that applies to your project is the one published on this page on the day your order was confirmed; changes are never applied retroactively to work already agreed. The date at the top of this page is the date of the current version.
2. What we provide
We build software: websites and content-managed sites, web applications, online shops, bots, dashboards, API integrations, automation scripts, technical audits and migrations. Work is sold as fixed-scope, fixed-price packages, and — after a project has been handed over — as monthly care plans.
- Start — one focused task, €500, 3–5 working days.
- Business — a complete small product, €1 200, 2–3 weeks.
- Pro — a custom system, €2 500, 4–6 weeks.
- Care plans — Essential €150, Active €400 or Priority €900 per month.
We work remotely and correspond in English, Estonian or Russian. We do not provide legal, tax, accounting, financial or marketing advice, and nothing we deliver should be treated as such. Where a project touches a regulated area, you remain responsible for obtaining the relevant professional advice.
3. Quotes and scope
Every project starts with a written scope document. It names the package, the chosen variant, the deliverables, the explicit exclusions, the number of revision rounds, the price and the delivery date. Nothing is agreed until that document exists and you have confirmed it in writing.
A quote is valid for 30 calendar days from the date it is sent, unless the quote itself says otherwise. The fixed price covers exactly what the scope document describes. Anything that is not written in it is not included, however reasonable it may seem — this is what makes a fixed price possible.
Revision rounds included in the price:
- Start — 2 rounds of corrections on the delivered result.
- Business — 3 rounds across the agreed milestones.
- Pro — rounds agreed per milestone and recorded in the scope document.
A revision round means one consolidated set of comments from you and one pass of corrections from us. Corrections that ask for something different from the agreed scope are handled under section 6.
4. Prices and payment
All prices are in euros (EUR) and are the prices published on this site on the day of your order confirmation. Prices are stated without VAT. Where VAT applies, it is added to the invoice in accordance with the Estonian Value-Added Tax Act (käibemaksuseadus), the place of supply rules and your status as a business or a consumer.
| Package | Price | Timeline | Payment | Revision rounds |
|---|---|---|---|---|
| Start | €500 | 3–5 working days | In full on delivery | 2 |
| Business | €1 200 | 2–3 weeks | 50% on order, 50% before hand-over | 3 |
| Pro | €2 500 | 4–6 weeks | 50% on order, 50% before hand-over | Agreed per milestone |
| Care — Essential | €150 / month | Rolling | Monthly in advance | — |
| Care — Active | €400 / month | Rolling | Monthly in advance | — |
| Care — Priority | €900 / month | Rolling | Monthly in advance | — |
The payment term is 7 calendar days from the invoice date unless the offer or the invoice states otherwise. On Business and Pro projects the first 50% reserves the delivery slot and starts the work; the second 50% is invoiced before hand-over, and full access to the deliverables and the transfer of rights follow the final payment (see section 9).
If an invoice is overdue, we may charge late-payment interest of 0.05% per day on the outstanding amount, as permitted by the Law of Obligations Act (võlaõigusseadus). If an invoice remains unpaid for more than 14 calendar days after the due date, we may suspend work after giving you written notice; the delivery date then shifts by at least the length of the suspension.
Third-party costs are never included in the package price: hosting, domain names, SSL certificates beyond free ones, paid libraries or themes, stock imagery, payment-gateway fees, SMS or e-mail delivery services, and any subscription in your own name. See section 12.
Care plans are invoiced monthly in advance. Development hours in a care plan are counted per calendar month and do not carry over into the next month; unused hours are not refunded and are not transferable.
5. Your responsibilities
A fixed timeline only works if the material we need arrives on time. You agree to provide:
- Content — texts, images, logos, product data and translations, in a usable format.
- Access — hosting, domain registrar, repositories, existing databases, analytics and any third-party accounts the project touches.
- Credentials — delivered through a channel we agree on, not in plain e-mail where a safer option exists.
- A named contact — one person with the authority to answer questions and approve results.
- Feedback — written comments and approvals within 5 business days of being asked.
You confirm that you hold the rights to everything you send us, and that using it in the project does not infringe anyone else's copyright, trade mark or other rights. We are not responsible for checking the legality of the content you supply.
If material, access or feedback is late, the delivery date moves by at least the length of the delay. If a project is paused on your side for more than 30 calendar days, we may invoice the work completed so far and reschedule the remainder into the next available slot.
6. Changes to scope
Requests are welcome at any point — they simply need to be priced honestly. When you ask for something, we tell you in writing whether it fits inside the agreed scope. If it does not, you receive a separate quote with the additional price and the effect on the delivery date before any of that work starts.
Accepted changes are recorded as a written addition to the scope document and become part of it. We never start extra work on the assumption that it will be approved later, and we never issue a surprise invoice for something you did not agree to in writing.
Removing items from an agreed scope does not automatically reduce the fixed price once work on them has begun. Where nothing has been started, we will reduce the price fairly and say how we calculated it.
7. Delivery and acceptance
Delivery happens on a staging environment or, where agreed, directly on your production environment. The hand-over pack always includes the full source code and Git history, written technical documentation, deployment instructions and the credentials created for the project.
From the moment of hand-over you have 7 calendar days to test the result and report defects in writing. A defect report should describe what you did, what you expected and what happened instead, so it can be reproduced.
If no defects are reported within those 7 days, the delivery counts as accepted. Putting the deliverable into live commercial use also counts as acceptance of the parts in use. Acceptance starts the warranty period described in section 8 and triggers the final invoice where one is outstanding.
8. Warranty
A defect is delivered work that does not do what the agreed written scope says it does. We fix defects free of charge within the window below, counted from the date of acceptance.
| Package | Defect-fixing window | Counted from |
|---|---|---|
| Start | 14 calendar days | Acceptance |
| Business | 30 calendar days | Acceptance |
| Pro | 90 calendar days | Acceptance |
These windows are our own commitment and they do not replace the law. Where you order as a consumer, the mandatory liability for non-conformity under the Estonian Law of Obligations Act (võlaõigusseadus) — two years from delivery — applies in addition to the table above and is not limited, shortened or excluded by it.
The following is not warranty work and is quoted separately:
- New features, additions or changes of mind, however small.
- Breakage caused by a third-party service, API, plug-in or platform update outside our control.
- Problems caused by changes you or another party made to the code, the content or the environment.
- Errors in content, data or translations you supplied.
- Hosting failures, expired domains, exhausted quotas or unpaid third-party subscriptions.
Warranty work is done in the environment we handed over. Fixing a defect does not restart or extend the warranty period for the rest of the project. After the warranty window ends, ongoing work is available through a care plan or a new fixed-scope order.
9. Intellectual property
The economic rights to the custom code, configuration and other materials written specifically for you transfer in full to you when the final payment for that project is received, in the sense of the Estonian Copyright Act (autoriõiguse seadus). From that moment you may use, modify, relicense, sell or hand the work to another team without asking us.
Until the final payment is received, you have a limited, non-exclusive and non-transferable licence to review and test the work. That licence does not cover live commercial use.
Third-party components keep their own terms. Open-source libraries stay under their own licences, and commercial components, themes or fonts require your own licence — we tell you which ones a project depends on and what they cost before we use them.
We keep the right to reuse generic, non-client-specific know-how: techniques, patterns, our own libraries, boilerplate and internal tooling that contain none of your confidential information, data or branding. We may also mention that we worked with you and show non-confidential visual material in a portfolio; if you would rather we did not, tell us in writing at any time and we will stop.
10. Confidentiality
Both sides keep the other side's confidential information confidential for 3 years from the date it was disclosed. Confidential information means anything marked as confidential or that a reasonable person would treat as confidential: business plans, pricing, source code, data, credentials, customer lists and unreleased products.
The usual exceptions apply. Information is not confidential if it:
- is or becomes public without a breach of these terms;
- was already lawfully known to the receiving party;
- was developed independently without using the other party's information; or
- was lawfully received from a third party with no duty of confidence.
Disclosure required by law, a court or a competent authority is permitted, and we will tell you before disclosing where we are lawfully allowed to. We sign a separate non-disclosure agreement on request, before technical detail is exchanged.
11. Data protection
Each party is an independent controller for the business contact details it holds about the other. How we handle the details you send us through the enquiry form, by e-mail or by phone is described in our Privacy Policy.
Where a project means we handle personal data held in your systems — for example a customer database, an order history or user accounts — we act as a processor on your documented instructions. In that role we will sign a data-processing agreement under Article 28 of the GDPR on request, before that data is touched.
Wherever it is technically possible, we develop against anonymised or synthetic test data rather than real personal data, we use the minimum access needed to do the job, and we return or delete any copies of your data once the project ends.
12. Third-party services
Most projects depend on services we do not own: hosting and domains, payment gateways such as Stripe, Montonio or bank links, couriers such as Omniva or DPD, e-mail delivery, mapping and other APIs, and commercial licences.
These are contracted by you, in your own name, so that the accounts and the data stay yours. Their fees are not included in the package price. We are happy to set them up on your behalf when you give us access.
We are not liable for third-party outages, price changes, policy changes, account suspensions or breaking changes to their APIs. Where such a change requires work on our side after hand-over, it is quoted separately or covered by your care plan — it is not warranty work.
13. Liability
Our aggregate liability arising out of or in connection with a project is limited to the total fees actually paid to us for that project. For a care plan, liability is limited to the fees paid for the three months before the event giving rise to the claim.
We are not liable for:
- indirect or consequential loss, lost profit, lost revenue, lost business or reputational harm;
- loss of data where backups were declined, not part of the agreed scope, or maintained by you or a third party;
- the consequences of you or a third party changing the delivered code or its environment.
Nothing in these terms limits or excludes liability for intent or gross negligence, for damage to life, body or health, or for anything else that cannot be limited under Estonian law. Where you are a consumer, your mandatory statutory rights are unaffected by this section.
14. Term and cancellation
A project contract runs until the delivery is accepted and the final invoice is paid. A care plan runs month to month from the start date agreed with you.
Before work starts, you may cancel a project and receive a full refund of any prepayment, minus any work already performed at your request. After work starts, you may cancel at any time; we invoice the work completed to that date on a pro-rata basis against the fixed price, hand over what exists, and refund any balance.
Care plans can be cancelled by either side with 30 days' written notice, effective at the end of the paid month. Hours not used in a month are not refunded.
We may terminate a contract after written notice if an invoice stays unpaid, if a project is blocked on your side for more than 30 days, or if we are asked to do something unlawful. In each case, work performed up to that point is invoiced and handed over.
If you are a consumer
Where you order as a private individual outside your business or profession, you have the mandatory 14-day right of withdrawal under the Law of Obligations Act (võlaõigusseadus). That right does not apply once the service has been fully performed, provided that performance began with your prior express consent and your acknowledgement that you lose the right of withdrawal when the service is complete. If you ask us to begin during the withdrawal period and then withdraw, you pay a proportionate amount for the work performed up to that point. To withdraw, any unequivocal statement within the 14 days is enough — an e-mail to the address published on this site is sufficient, and no particular form or wording is required. We confirm receipt of a withdrawal without undue delay.
If a consumer dispute cannot be settled between us, you may refer it to the Consumer Disputes Committee of the Estonian Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet) — www.ttja.ee.
15. Force majeure
Neither party is liable for a delay or a failure to perform caused by an event beyond its reasonable control: natural events, fire, war, civil unrest, strikes, power or telecommunications failures, large-scale internet or cloud-provider outages, cyber attacks, epidemics, changes in law or binding orders from an authority.
The affected party notifies the other without undue delay and does what it reasonably can to limit the effect. Deadlines are extended by the duration of the event. If it lasts longer than 60 calendar days, either party may terminate the contract in writing, and work performed up to that point is invoiced and handed over. Force majeure does not excuse payment obligations that already fell due before the event.
16. Governing law
These terms and every contract based on them are governed by the law of the Republic of Estonia, excluding its conflict-of-law rules. Where you are a consumer, this choice of law does not deprive you of the protection of the mandatory rules of the country in which you have your habitual residence — those rules apply in addition, exactly as the jurisdiction carve-out below.
If a dispute arises, both parties first try to settle it by negotiation. Where that fails, the dispute is resolved by Harju County Court (Harju Maakohus) in Estonia, unless mandatory rules — including consumer protection rules — give another court or body jurisdiction.
The contract language is English. If these terms are translated and the versions conflict, the English version prevails. If any provision is found invalid, the rest stays in force and the invalid provision is replaced by the closest valid rule with the same commercial intent.
